Terms of Service

Welcome to FreightFrame ("FreightFrame", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our platform, including our website, creator dashboards, APIs, payment systems, and video hosting and streaming services (collectively, the "Service"). By registering an account, purchasing digital media, or uploading content, you agree to be legally bound by these Terms.

1. Accounts, Registration & Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use FreightFrame. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are entirely responsible for all activity that occurs under your account.

2. Platform Role, Merchant of Record & Stripe Connect Setup

FreightFrame operates as a technology infrastructure and software-as-a-service (SaaS) provider. Unless explicitly stated otherwise, individual creators act as the Merchant of Record for all sales of their digital products, streams, and assets. Payment processing and payouts are facilitated directly through Stripe Connect. By listing or selling products on FreightFrame, creators explicitly agree that all payment disputes, chargebacks, customer refunds, and associated bank fees are the direct financial and legal liability of the respective creator's Stripe account, and FreightFrame assumes no responsibility or liability for third-party dispute costs.

3. Creator Content Warranties & Intellectual Property

Creators retain ownership of the intellectual property rights in the content they upload. However, by publishing content on FreightFrame, you grant us a worldwide, non-exclusive, royalty-free license to host, store, encode, stream, and display your content to authorized buyers via our infrastructure partners (such as Cloudflare Stream).

You expressly warrant and represent that:

• You own or have secured all necessary licenses, rights, consents, and permissions for all audio tracks, master recordings, musical compositions, visual imagery, likenesses, and third-party elements contained in your music videos or digital products.
• Your content does not violate or infringe upon the intellectual property, privacy, publicity, or moral rights of any third party.

4. DMCA Copyright Policy & Takedown Procedures

FreightFrame respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content hosted on FreightFrame infringes your copyright, you may submit a takedown notice containing:

• A physical or electronic signature of the copyright owner or an authorized agent.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material on our platform with sufficient detail for us to locate it.
• Your contact information (address, telephone number, and email).
• A statement of good faith belief that use of the material is not authorized by the copyright owner.

Notices should be sent to our designated copyright agent at legal@freightframetechcorp.com. We reserve the right to immediately remove infringing content and terminate repeat-infringer accounts without notice.

5. Prohibited Conduct & Content

You agree not to use the Service to upload, stream, or distribute content that is illegal, fraudulent, harassing, defamatory, sexually explicit, malware-infected, or violative of any third-party rights. We reserve the right, but have no obligation, to review, moderate, or remove any content or suspend accounts that violate these restrictions.

6. Fees, Subscriptions & Payouts

Platform fees, transaction fees, and subscription tiers are disclosed at checkout or within creator dashboards. Fees are non-refundable except as required by law. Payouts to creators are contingent upon successful payment processing and are subject to anti-fraud holds and Stripe reserve requirements.

7. Digital Delivery, Refunds, Disputes & Chargeback Clawbacks

Due to the digital nature of music streaming and instant-access media downloads, all sales are strictly final once a digital key, license, stream, or media file has been accessed or downloaded.

In the event that a end-buyer files a chargeback or payment dispute with their issuing bank:

• FreightFrame reserves the immediate right to revoke all digital entitlement keys, content access, and stream permissions associated with the disputed transaction.
• Any dispute fees, bank chargeback fines, or financial deductions enforced by payment processors will be debited directly from the responsible creator’s connected Stripe account or future payout earnings.
• Accounts engaging in fraudulent transactions or accumulating excessive chargeback ratios will be permanently banned.

8. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure video streaming delivery across all third-party networks or devices.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FreightFrame, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of (or inability to access or use) the service. Our total aggregate liability for any claims under these terms shall not exceed the greater of one hundred US dollars ($100) or the amount you paid us in the past three (3) months.

10. Indemnification

You agree to defend, indemnify, and hold harmless FreightFrame and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your content, your products, or your infringement of any third-party intellectual property or privacy right.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FreightFrame operates, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding individual arbitration, and you hereby waive any right to participate in a class-action lawsuit or class-wide arbitration.

12. Changes to These Terms

We may modify these Terms at any time by posting the revised version on our website. Your continued use of the Service after any modifications constitutes your formal acceptance of the updated Terms.
